By creating an account, accessing, or using Rank++ ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our Service.

These terms apply to all users, including free trial users, paid subscribers, and visitors to our website.

2. Description of Service

Rank++ is an AI visibility optimization platform that provides:

• AI Visibility Audits - Analysis of how your content appears in AI-generated answers
• AI Visibility Scoring - Metrics and benchmarking for AI discoverability
• AI Schema Builder - Tools to optimize metadata and structured data
• Content Optimization - Recommendations for AI-friendly content
• Analytics Dashboard - Tracking and reporting of AI visibility metrics
• Authoritative Directory Submissions - Listings to improve AI trust signals

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent that you meet these requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these terms, engage in fraudulent activity, or use the Service in a manner that could harm Rank++ or other users.

4. Subscription and Billing

4.1 Free Trial

We offer a 14-day free trial with full access to all features. No credit card is required to start the trial. The trial automatically expires after 14 days unless you subscribe to a paid plan.

4.2 Paid Subscriptions

Subscription plans are available on a monthly or yearly basis:

• Monthly Plan: $39 per month, billed monthly
• Yearly Plan: $390 per year (equivalent to 10 months), billed annually

4.3 Billing

• All fees are in USD unless otherwise stated
• Subscriptions automatically renew unless cancelled
• You will be charged on the same day each billing period
• We use third-party payment processors (Stripe) to handle billing
• You are responsible for all applicable taxes

4.4 Refunds

We offer a 30-day money-back guarantee on all paid plans. If you're not satisfied, contact us within 30 days of your purchase for a full refund. Refunds are not available for renewals or after the first 30 days.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access until that date. No refunds are provided for partial months or years.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers

• Use the Service for spam, phishing, or other malicious purposes

• Manipulate or game AI systems in unethical ways
• Submit content that violates AI platform guidelines

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Rank++ and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service.

6.2 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, and analyze your content to provide the Service
• Create derivative works for analysis and optimization purposes
• Store and process your content on our servers

This license ends when you delete your content or close your account, except where we're required to retain data for legal purposes.

7. Service Level and Uptime

While we strive to provide reliable service, we do not guarantee:

• Uninterrupted or error-free operation
• That the Service will meet your specific requirements
• That defects will be corrected immediately
• Specific results from using our AI optimization recommendations

We perform regular maintenance and may temporarily suspend the Service for updates and improvements. We will provide advance notice when possible.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of AI visibility data
• Guaranteed improvements in AI rankings

We do not warrant that AI platforms will include your content in their responses. AI visibility depends on many factors beyond our control, including AI platform algorithms, content quality, and relevance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANK++ SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions taken by AI platforms based on your content
• Third-party services or integrations

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Rank++, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit to the Service
• Any claim that your content caused damage to a third party

11. User Content and Conduct

11.1 Content Responsibility

You are solely responsible for the content you submit for analysis. You represent and warrant that you have all necessary rights to submit the content and that it does not violate any third-party rights or applicable laws.

11.2 Prohibited Content

You may not submit content that:

• Is illegal, harmful, or fraudulent
• Infringes intellectual property rights
• Contains malware or malicious code
• Promotes violence, hatred, or discrimination
• Contains adult or explicit material
• Violates privacy rights of others
• Is intended to manipulate or deceive AI systems

12. API Usage

If you use our API, you agree to:

• Comply with our API documentation and rate limits
• Not reverse engineer or attempt to extract source code
• Use API keys securely and not share them publicly
• Implement proper error handling and caching
• Attribute Rank++ when displaying our data publicly

We may impose rate limits or usage restrictions. Excessive use may result in temporary suspension or additional charges.

13. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

• Payment processors (Stripe)
• Analytics providers (Google Analytics, PostHog)
• Email services (Resend)
• AI platforms (OpenAI, Anthropic, Google)

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for third-party services or their practices.

14. Confidentiality

We treat your data as confidential and implement appropriate measures to protect it. However, you acknowledge that:

• Content you submit may be analyzed by AI systems
• Aggregate and anonymized data may be used for research and improvement
• Public website data you submit is already publicly available
• We may use your data to train and improve our algorithms (anonymized)

15. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via:

• Email notification to your registered address
• Prominent notice on the Service
• Update to the "Last updated" date above

Your continued use of the Service after changes constitutes acceptance of the modified terms. If you do not agree to the changes, you must stop using the Service.

16. Termination

Either party may terminate this agreement:

• By You: Cancel your subscription at any time from account settings
• By Us: Terminate accounts that violate these terms, immediately and without notice

Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted after 90 days (unless required by law)
• You can export your data before deletion
• Outstanding fees remain payable

17. Dispute Resolution

• Inclusion in responses from ChatGPT, Claude, Perplexity, or other AI tools
• Increased traffic or conversions from AI visibility
• That AI platforms will not change their algorithms or policies
• Compatibility with future AI systems or updates

Results depend on content quality, competition, AI platform algorithms, and many other factors beyond our control.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Rank++ concerning the Service.
